USER AGREEMENT

1. Acceptance of These Terms

This User Agreement ("Agreement") is a binding contract between you and Aperion Health ("Aperion," "we," "us," or "our") and governs your access to and use of our website, member portal, mobile experiences, and healthcare navigation and wellness services (collectively, the "Services").

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. Access may also depend on eligibility through an employer, health plan, or program sponsor.

You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

  • Provide accurate, current, and complete registration information
  • Maintain the security and confidentiality of your login credentials
  • You are responsible for activity under your account
  • Notify us immediately of suspected unauthorized access

3. The Aperion Health Services

Aperion Health provides value-based healthcare navigation, personalized support, and wellness resources designed to help members make informed decisions and optimize healthcare spending.

We may add, modify, or discontinue features of the Services at any time. Some features may depend on third parties, your plan, or your eligibility, and may not be available in all locations.

4. Not Medical Advice or Emergency Services

The Services are not a substitute for professional medical care. In an emergency, call 911 or go to the nearest emergency room.

Aperion Health supports navigation, education, and care coordination. We do not provide medical care, diagnosis, or treatment, and using the Services does not create a doctor-patient relationship.

Always seek the advice of a qualified healthcare provider with any questions about a medical condition. Never disregard or delay seeking professional medical advice because of information obtained through the Services.

5. Acceptable Use

You agree to use the Services lawfully and only for their intended purposes.

You agree not to:

  • Misuse, disrupt, or attempt to gain unauthorized access to the Services or related systems
  • Upload malicious code or attempt to probe, scan, or breach security
  • Impersonate others or misrepresent your affiliation or eligibility
  • Use the Services to harass, harm, or violate the rights of others
  • Reverse engineer, scrape, or build a competing product from the Services
  • Use the Services in violation of applicable laws or third-party rights

6. Your Information & Submissions

You retain ownership of the information you submit. You grant Aperion Health a limited license to use that information to operate, provide, and improve the Services, consistent with our Privacy Policy and applicable law.

Protected Health Information is handled under our HIPAA Notice of Privacy Practices and applicable Business Associate Agreements.

7. Privacy & Health Information

We never sell Protected Health Information. See /privacy and /privacy/hipaa-notice for details.

Your privacy matters to us. Our collection, use, and disclosure of information is described in our Privacy Policy and, for Protected Health Information, our HIPAA Notice of Privacy Practices.

8. Fees, Plans & Sponsorship

Many members access the Services at no direct cost through an employer or health plan sponsor. Where fees apply, they will be disclosed to you before you incur them, and you agree to pay all applicable charges.

If your eligibility through a sponsor ends, your access to certain features may change or end.

9. Intellectual Property

The Services, including software, content, designs, and trademarks, are owned by Aperion Health or its licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use as permitted by this Agreement. No other rights are granted.

10. Third-Party Services & Links

The Services may integrate with or link to third-party providers, content, or websites that we do not control. Your use of third-party services is governed by their terms and policies, and Aperion Health is not responsible for them.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law.

We do not warrant that the Services will be uninterrupted, error-free, secure, or that results obtained will be accurate or reliable. To the fullest extent permitted by law, Aperion Health disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, Aperion Health and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or relating to your use of the Services.

Where liability cannot be excluded, our total liability for any claim relating to the Services is limited to the greater of the amount you paid us for the Services in the twelve months before the claim, or one hundred U.S. dollars (USD $100).

13. Indemnification

You agree to indemnify and hold harmless Aperion Health and its affiliates from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services or your violation of this Agreement or applicable law.

14. Suspension & Termination

We may suspend or terminate your access to the Services at any time if you violate this Agreement, if required by law, or to protect the Services or other users. You may stop using the Services at any time.

Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.

15. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Minnesota, except where applicable law provides otherwise.

Before filing a claim, you agree to first contact us to seek a good-faith resolution.

16. Changes to This Agreement

We may update this Agreement to reflect operational, legal, or regulatory changes. Material updates will be posted here with a revised date and, where appropriate, communicated through member channels.

Your continued use of the Services after an update means you accept the revised Agreement.
